This website, including all associated digital platforms, physical training environments, programs, events, and services (collectively, the “Platform”), is owned, operated, and administered by Crosstrain Fight Club, together with its affiliates, subsidiaries, licensors, franchisees, contractors, partners, and associated entities (collectively, “CROSSTRAIN”).

By accessing, browsing, registering with, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions of Use (“Terms”), which constitute a legally binding agreement between you and CROSSTRAIN.

All services are delivered on a best-effort basis, subject to operational feasibility, instructor availability, and environmental conditions. Nothing contained on the Platform shall be construed as a guarantee of outcomes, performance, fitness levels, or safety.

3. INHERENT RISKS AND ASSUMPTION OF LIABILITY

You expressly acknowledge and accept that participation in combat sports and high-intensity training involves inherent and unavoidable risks, including but not limited to:

  • Physical injury ranging from minor strains to catastrophic harm

  • Head trauma, neurological impact, or long-term disability

  • Equipment-related or environmental hazards

  • Psychological stress or fatigue

By choosing to participate, you:

  • Voluntarily assume all such risks, known and unknown

  • Accept full responsibility for any consequences arising therefrom

  • Acknowledge that such risks may arise even in a controlled or supervised setting

To the maximum extent permitted under applicable law, CROSSTRAIN disclaims all liability arising from such participation.

4. LIMITATION OF LIABILITY AND STRUCTURAL PROTECTION

CROSSTRAIN operates through a decentralized structure comprising independent entities, franchise arrangements, contractual trainers, and third-party collaborators.

Accordingly:

  • No individual associated with CROSSTRAIN, including partners, promoters, directors, employees, coaches, or contractors, shall bear personal liability for any claim, loss, or damage

  • Liability, if any, shall be strictly limited to the relevant operating entity providing the specific service

  • Under no circumstances shall liability extend to personal assets, upstream entities, investors, or non-operational stakeholders

Users expressly waive any right to assert claims seeking to extend liability beyond the applicable entity, including any attempt to disregard or challenge such structural separation.

5. WAIVER, RELEASE, AND INDEMNIFICATION

5.1 Waiver and Release

As a condition of use, you irrevocably agree to waive, release, and discharge CROSSTRAIN and its entire network from any and all claims, demands, or causes of action arising out of or in connection with:

  • Injury, illness, disability, or death

  • Loss or damage to property

  • Emotional or psychological harm

5.2 Indemnification

You agree to indemnify, defend, and hold harmless CROSSTRAIN and its stakeholders from and against any and all claims, liabilities, damages, costs, and expenses (including legal fees) arising from:

  • Your participation in activities

  • Breach of these Terms

  • Violation of applicable law

  • Conduct that causes harm to any person or property

This obligation shall survive termination of your relationship with CROSSTRAIN.

6. USER REPRESENTATIONS AND OBLIGATIONS

You represent and warrant that:

  • You are in appropriate physical and mental condition to undertake training

  • You have obtained necessary medical advice where required

  • You will disclose all relevant medical history truthfully

  • You will comply with all instructions, safety guidelines, and protocols

You agree not to:

  • Engage in reckless or unsanctioned conduct

  • Endanger other participants

  • Misuse facilities or equipment

CROSSTRAIN shall not be responsible for consequences arising from misrepresentation, non-disclosure, or non-compliance.

7. HEALTH AND MEDICAL DISCLAIMER

CROSSTRAIN does not provide medical advice, diagnosis, or treatment.

Any guidance provided:

  • Is for general training purposes only

  • Should not be relied upon as a substitute for professional medical consultation

In case of injury or medical condition, you are solely responsible for seeking appropriate care.

8. INTELLECTUAL PROPERTY RIGHTS

All content on the Platform, including but not limited to:

  • Training methodologies and systems

  • Curriculum structures

  • Branding, logos, and trademarks

  • Audio-visual materials and documentation

(collectively, “Content”) is the exclusive property of CROSSTRAIN or its licensors and is protected under applicable intellectual property laws.

Unauthorized use, reproduction, distribution, or commercial exploitation is strictly prohibited.

9. USER-GENERATED CONTENT

Where the Platform permits submission of content:

  • You retain ownership of your content

  • You grant CROSSTRAIN a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute such content

  • You shall ensure that such content does not violate any law

  • You shall ensure that such content does not infringe third-party rights

  • You shall ensure that such content is not harmful, abusive, or misleading

CROSSTRAIN reserves the right to remove or restrict content at its discretion.

10. CODE OF CONDUCT AND DISCIPLINARY ACTION

All users must adhere to standards of discipline, respect, and safety.

CROSSTRAIN reserves the right to take immediate action, including suspension or termination, in cases involving:

  • Violence outside supervised activity

  • Harassment or misconduct

  • Violation of rules or instructions

Such actions may be taken without prior notice and without liability.

11. THIRD-PARTY SERVICES AND FACILITIES

CROSSTRAIN may engage third-party service providers, venues, or partners.

Such entities operate independently, and CROSSTRAIN:

  • Does not control their operations

  • Does not assume liability for their acts or omissions

Any engagement with third parties is at your own risk.

12. PAYMENTS, REFUNDS, AND COMMERCIAL TERMS

All payments made to CROSSTRAIN are:

  • Subject to applicable pricing structures

  • Non-refundable unless explicitly stated otherwise

CROSSTRAIN reserves the right to:

  • Modify pricing

  • Introduce new charges

  • Withdraw services

13. FORCE MAJEURE

CROSSTRAIN shall not be liable for any failure or delay arising from events beyond its reasonable control, including but not limited to:

  • Natural disasters

  • Government actions

  • Public health emergencies

  • Infrastructure disruptions

14. ACCURACY AND AVAILABILITY

20. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and CROSSTRAIN and supersede all prior communications, representations, or agreements.
